GraySolve Terms of Service

Effective date: October 30, 2026
Last updated: October 30, 2026

Please read these Terms carefully. They are written in plain English, but they are a legal agreement. Sections 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 16 (Resolving Disputes) limit our responsibility and affect how disputes are resolved.

1. Agreement

These Terms of Service ("Terms") are an agreement between you and EllaGray LLC, an Arkansas limited liability company based in Dover, Arkansas ("EllaGray," "we," "us," or "our"). They govern your use of GraySolve™, including the website at graysolve.com, the planner at graysolve.com/app, any installed (home-screen) version of it, and your GraySolve account (together, the "Service").

By creating an account, buying GraySolve, or using the Service, you agree to these Terms and to our Privacy Policy (https://graysolve.com/legal/privacy). If you do not agree, please do not use the Service. If you use the Service for a business or organization, you confirm you are authorized to accept these Terms for it.

You must be at least 18 years old to buy GraySolve or hold an account.

2. What GraySolve does

GraySolve helps you plan things like parties, weddings, home projects, trips, and work projects, with tasks, due dates, assignees, costs, budgets, contacts, documents, summaries, and PDF exports. It is a planning tool. You are responsible for your plans, decisions, and results.

3. Your account

4. Your license to use GraySolve

Subject to these Terms, EllaGray grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your own personal or internal business planning, on devices you own or control.

You may not: (a) copy, modify, or create derivative works of the Service, except as the law allows; (b) sell, resell, rent, lease, sublicense, or share access to your account; (c) reverse engineer, decompile, or disassemble the Service, except where the law expressly permits it despite this restriction; (d) bypass or tamper with sign-in, payment, rate-limit, or security features; or (e) use the Service to build a competing product.

This license is not a sale. EllaGray and its licensors keep all rights not expressly granted to you.

5. Price and payment

5.1 One-time purchase

GraySolve's early buyer price is US $15, paid once. Your purchase gives you a GraySolve account with access to the planner. It is not a subscription, and there are no recurring charges.

Early buyers keep lifetime access. We plan to move GraySolve to yearly pricing later (for example, $49.99 a year for new buyers). If we do, anyone who paid the one-time price keeps lifetime access to GraySolve, as defined in Section 5.2, and will never be charged a yearly fee for it.

5.2 What "pay once" and "lifetime" mean

"Pay once" or "lifetime" means: for as long as EllaGray offers GraySolve, you can use the features you paid for without paying again. It means the lifetime of the product, not of you or your device. It does not mean:
- that GraySolve, any feature, or any third-party service it uses (such as Google Drive sync or push notifications) will be available forever;
- that we will provide updates, new features, or support for any particular period (updates are at our discretion);
- that a future, substantially new product or a new paid tier with new features is included; or
- that a purchase on the web carries over to a future app-store version, unless we say so.

We may change, add, or remove features. If we permanently discontinue GraySolve, we will give at least 90 days' notice where reasonably possible, along with a way to export your data. Because your projects are stored on your device or in your own storage, they remain yours. If we discontinue GraySolve within 12 months after your purchase, you may ask for a full refund.

5.3 Payment processing and taxes

Payments are processed by Stripe, Inc. on Stripe's secure checkout page, under Stripe's terms and privacy policy. EllaGray is the seller. Prices are shown at checkout and may change later; a price change does not affect a purchase you already made. Applicable taxes may be added at checkout.

6. Refunds

If you're not satisfied, you may get a full refund within 14 days of purchase, no questions asked. Email info@graysolve.com from the email address you used at checkout. Refunds go back to your original payment method through Stripe; your bank may take several business days to show it. After 14 days, purchases are non-refundable, except as stated in Section 5.2, where required by law, or where we choose to make an exception.

When a refund is issued, your GraySolve account is closed. Your projects are not deleted; they stay on your device and in your own storage.

Nothing in this section limits any refund or withdrawal right you have under laws that cannot be waived. We may refuse refunds or close accounts in cases of fraud, chargeback abuse, or repeated refund requests.

7. Your projects and backups (please read)

8. Third-party services

GraySolve works with services run by other companies, including Google (sign-in and Drive), Cloudflare (hosting, accounts, and reminders), Stripe (payments), and browser and device push notification services. Your use of those services is governed by their own terms and privacy policies. We don't control them and aren't responsible for their availability, changes, errors, outages, security, or actions. If a third party changes or stops a service (for example, Google changes its Drive API), the related GraySolve feature may change or stop working. That is not a breach of these Terms and does not entitle you to a refund, except as stated in Sections 5.2 and 6.

9. Acceptable use and our intellectual property

You agree not to use the Service to: break any law or violate anyone's rights (including privacy rights); store or share unlawful, harmful, or infringing material; harass, defraud, or harm anyone; send spam; interfere with, overload, probe, or attack the Service or anyone's systems; introduce malware; access the Service by automated means in a way that burdens it; misuse Google or other third-party services through GraySolve; or misrepresent who you are.

The Service, including its software, design, text, graphics, logos, and the names "GraySolve" and "EllaGray," is owned by EllaGray or its licensors and protected by copyright, trademark, and other laws. These Terms don't give you any right to use our names, logos, or trademarks. If you send us ideas or feedback, we may use them freely without obligation to you.

10. Disclaimer of warranties

WE WORK HARD TO MAKE GRAYSOLVE USEFUL AND RELIABLE, BUT THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ELLAGRAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH YOUR DEVICE OR BROWSER; THAT DATA WILL NOT BE LOST OR CORRUPTED; THAT SYNC, BACKUP, EXPORT, OR REMINDERS WILL WORK; OR THAT CALCULATIONS, TOTALS, OR SUMMARIES WILL BE ERROR-FREE.

Not professional advice. GraySolve does not provide financial, budgeting, tax, legal, construction, safety, medical, travel, or other professional advice. Budget and cost figures are your own entries, and totals are only as accurate as what you enter. Check important numbers yourself and consult qualified professionals where appropriate.

Some places don't allow certain warranty disclaimers, so some of the above may not apply to you. In that case, any implied warranty is limited to the shortest period and smallest scope the law allows.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) ELLAGRAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CONTENT, PROFITS, REVENUE, GOODWILL, OR OPPORTUNITY, OR FOR MISSED DEADLINES, EVENTS, OR BUDGET OVERRUNS, arising out of or related to the Service or these Terms, even if we were told such damages were possible.
(b) ELLAGRAY'S TOTAL LIABILITY for all claims arising out of or related to the Service or these Terms, under any legal theory, WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID FOR GRAYSOLVE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) US $50.
(c) These limits apply even if a remedy fails of its essential purpose, and they are part of the basis of the bargain; they are why we can offer GraySolve at a low one-time price.

What we don't limit: Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for our own fraud, gross negligence, or willful misconduct, or rights you have under consumer-protection laws that cannot be waived.

Who is protected: These disclaimers and limits also protect EllaGray's members, managers, owners, employees, contractors, and agents. You agree that any claim relating to the Service will be brought only against EllaGray LLC, and not against any of them personally, to the extent permitted by law.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless EllaGray and its members, managers, owners, employees, contractors, and agents from any third-party claims, losses, liabilities, damages, and costs (including reasonable attorneys' fees) arising from: (a) your misuse of the Service; (b) your violation of these Terms; (c) Your Content, including information about other people that you entered without permission; or (d) your violation of any law or third party's rights. We will notify you of any such claim and may choose to control the defense, in which case you agree to cooperate. This section does not require you to indemnify us for our own negligence or misconduct.

13. Suspension and termination

You may stop using GraySolve at any time, and you may ask us to delete your account by emailing info@graysolve.com. We may suspend or close your account if you materially violate these Terms (including fraud, chargeback abuse, or account sharing), if required by law, or if we discontinue GraySolve (see Section 5.2). Where reasonable, we will give notice first. If we close your account without cause and without discontinuing GraySolve, we will refund what you paid. Sections 7, 8, and 9–18 survive termination.

14. Changes to the Service and these Terms

We may update the Service at any time. We may also update these Terms. If we make a material change, we will post the updated Terms with a new "Last updated" date and give reasonable notice (for example, by email or a notice on the site) at least 30 days before it takes effect, except where a change is required sooner by law or for security. Continuing to use the Service after a change takes effect means you accept it. Changes will not apply retroactively to disputes that arose before the change, and will not take away access you already paid for.

15. Governing law

These Terms are governed by the laws of the State of Arkansas and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer living outside the United States, you keep any protections of your home country's laws that cannot be waived by contract.

16. Resolving disputes

16.1 Talk to us first

Most problems can be fixed quickly. Before filing any claim, you agree to email info@graysolve.com with your name, a description of the issue, and what you'd like us to do. We agree to do the same if we have a dispute with you. Both sides agree to try in good faith to resolve the dispute informally for at least 30 days. Any deadlines to bring a claim are paused during this period.

16.2 Where claims are brought

If we can't resolve it informally, any lawsuit must be brought exclusively in the state courts located in Pope County, Arkansas, or the United States District Court for the Eastern District of Arkansas, and you and EllaGray consent to the personal jurisdiction and venue of those courts.

16.3 Small claims

Either of us may instead bring an individual claim in a small claims court (for example, the small claims division of an Arkansas district court, or the small claims court where you live) if the claim qualifies and stays there on an individual basis.

16.4 Individual claims only

To the extent permitted by law, you and EllaGray agree that claims will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

16.5 Time limit

To the extent permitted by law, any claim relating to the Service must be brought within one (1) year after it arises, or it is permanently barred.
